   4. Disclosing all known facts that materially affect the value of residential real property and are not readily observable to buyer;
   5. Presenting all offers and counteroffers in a timely manner, unless a party has previously directed the licensee otherwise in writing;
   6. Limited confidentiality, unless waived in writing by a party. This limited confidentiality will prevent disclosure that the seller will accept a price less than the asking or listed price, that the buyer will pay a price greater than the price submitted in a written offer, the motivation of any party for selling of buying property, that a seller or buyer will agree to financing terms other than those offered, or of any other information requested by a party to remain confidential; and
   7. Any additional duties that are expressly accepted by the Broker by separate written agreement

Limited representation means that a buyer or seller is not responsible for the acts of the licensee. Additionally, parties are giving up their rights to the undivided loyalty of the licensee. This aspect of limited representation allows a licensee to facilitate a real estate transaction by assisting both buyer and the seller, but a licensee will not work to represent one party to the detriment of the other party when acting as a transaction broker to both parties.

4. Electronic Offer System: Once you have signed in and received a user ID and password and have acknowledged that you have read and understand the disclosures and disclaimer contained herein, you may make electronic offers through our website directly to the Seller and the Seller's assigned real estate professional.
   1. No Contract: All offers submitted or accepted over the EOS system are non-binding on both the Buyer and the Seller. AN OFFER AND/OR ACCEPTANCE OF AN OFFER THROUGH THIS SYSTEM DOES NOT CONSTITUTE A LEGALLY BINDING CONTRACT AND DOES NOT OBLIGATE THE BUYER TO PURCHASE OR THE SELLER TO SELL THE PROPERTY IN ACCORDANCE THEREWITH. The system is used only to start the contract process and to allow the Buyer and the Seller to express their intent to enter into a contract on the offer terms submitted and accepted over this system.
   2. Buyer Offers: The system will allow Buyers to make one offer to one Seller at a time. A Buyer may withdraw the offer at any time before acceptance.
   3. Seller Offers: The Seller may receive more than one offer at a time on their property. Once the Seller has accepted an offer over the EOS system, Seller will not receive any additional offers on that property. The Seller will have the opportunity to accept, reject, or counter the Buyer's offer over the EOS system.
   4. Acceptance: Within 24 hours following a Seller's acceptance of a Buyer's offer over the EOS, the assigned real estate professional will prepare a contract based on the agreed and accepted offer terms. If both the Buyer and the Seller do not sign and deliver the contract within five business days following acceptance of an offer on the EOS, the accepted offer will be canceled on the EOS. BothBuyer and Seller may thereafter send and receive offers on the EOS system..
   5. Hold Harmless: All registered users agree that they will hold Knight-Gardner, LLC. dba Prudential Knight & Gardner Realty harmless against any and all claims arising out of the use of this website or the EOS offer system.
   6. Florida Law: Knight-Gardner, LLC. dba Prudential Knight & Gardner Realty is a real estate broker licensed under the laws of the State of Florida, and a member of the National Association of Realtors.
   7. Use: Knight-Gardner, LLC. dba Prudential Knight & Gardner Realty reserves the right to restrict access to any Buyer or Seller without notice, in brokers sole discretion, for any reason, including but not limited to a violations of terms of this notice. A Buyer that makes offers on this site and fails to execute a contract more than once will be denied further access to this site.
5. Calendar: The calendar functions are used as a convenience for the Buyer and the Seller. Knight-Gardner, LLC. dba Prudential Knight & Gardner Realty is not liable or responsible for any errors or missed timelines or timeframes due to the inaccuracy or malfunction of the calendar. Buyer and Seller will be legally obligated to follow the timelines in any written contract to which they are a party.
